Information Memorandum
Prior to any live discussions with prospective buyers, Fusion and the management team will start preparing the Information Memorandum (IM). The IM is the primary source of information that buyers will use to assess their interest in the business. It provides a detailed overview of the business's products, management team, strategic opportunities as well as a financial overview. If there is an understandably concern about sensitive information being disclosed to competitors we can restrict the information flow to certain parties until we are clear that they intentions are genuine. We will often release an initial Tickler document, followed by a more detailed Teaser in advance of the release of the full IM.
It is important for the integrity of the ongoing exit process that the IM is accurate and credible. The IM must provide buyers with enough information for them to be able to make a good assessment of the business and to be able to put forward a reliable proposal.
Overall it is vital that the IM presents a compelling overview of the business and its future growth potential and strategic opportunities.
